IGE Constitution and Rules

CLAUSE 1                      THE INSTITUTION  

(a)       The registered name of the Institution shall be the Institution of Gas Engineers (Australia ) Incorporated.

(b)         The location of the office of the Institution shall be defined by the Board.  

CLAUSE 2                      DEFINITIONS  

(a)          Institution shall mean the Institution of Gas Engineers ( Australia ) Incorporated.

(b)          Board shall mean the Board of management of the Institution.

(c)          Subs shall mean the Annual Membership subscription.

(d)          An Honorary Life Member shall be a Financial Member or person recommended by the Board and approved by a majority decision at an Annual General Meeting in recognition of long or outstanding service to the Institution or the gas industry.

(e)         A Senior Member shall be a Financial Member or person appointed as such by the Board. Applicants must have attained the age of 60 years and not be permanently employed for more than 20 hours per week.

(f)          A Special Resolution Meeting shall be any Meeting other than an Annual General or Board Meeting called in accordance with clause 9 (a).  

CLAUSE 3                      OBJECTIVES  

(a)         The promotion of the Institution throughout the gas industry in Australia .

(b)         The promotion and development of all aspects of the gas industry.

(c)         The dissemination of knowledge of the gas industry to Members and the public.

(d)        The support of kindred organisations in promoting the gas industry.  

CLAUSE 4                      MEMBERSHIP  

(a)         A Member shall be a person, approved by the Board, who is currently or was previously involved in the gas industry, or a person considered by the Board to be suitable for Membership.

(b)         An application for Membership received by the Secretary, shall, provided it is duly proposed and seconded by two Financial Members, be dealt with by the Board at it’s next Meeting.

(c)          A Member shall only cease to be a Member upon written notice to the Secretary. The Member shall be liable for all subs and levies owing to the Institution.

(d)              A Member who refuses to accept the ruling of the chairman or continually interrupts the business of any Meeting shall be excluded from such Meeting.

(e)         A Member who refuses to abide by the constitution and rules of the Institution or who commits any act considered by the Board to be derogatory to the Institution shall be requested by the President (chairman) to give an explanation for such action. The Board shall, if not satisfied with the explanation, have the right to exclude the Member from Membership.

(f)           A Member excluded under rule 4 (e) shall be notified of such exclusion, by mail within seven (7) days.

(g)         A Member excluded under rule 4 (e) shall have the right to appeal against the Board's decision. The Secretary must be notified of any intention of appeal, in writing, within fourteen days of the Boards decision.

(h)         If an appeal is requested under rule 4 (g) it shall be heard at a Special Resolution Meeting (as defined). All Financial Members shall be given twenty-one (21) days notice of any such Special Resolution Meeting. If an appeal is not requested the Board's original decision shall be final

(i)           At any Special Resolution Meeting called under rule 4 (g) a motion to exclude a Member or Members, must be carried by a 75% vote of the Members entitled to vote at the Meeting.

(j)           The decision of the Special Resolution Meeting shall be final.

(k)          An Honorary Life Member (as defined) may be appointed by the Institution, on the recommendation of the Board, at any Annual General Meeting.

(l)           A Senior Member (as defined) may be appointed by the Board at any of its regular Meetings.  

CLAUSE 5                      OFFICE BEARERS  

(a)              The Office Bearers of the Institution shall be:

The President (Chairman Of The Board)

The Immediate Past President

The Senior Vice President (Senior Vice Chairman Of The Board)

The Junior Vice President (Junior Vice Chairman Of The Board)

The Secretary

The Treasurer

The Public Officer

Nominees for election to the offices of President, Vice President and Treasurer shall be Financial Members

(b)         The President shall be elected for one term of two (2) years and shall not be eligible for re-election for a successive term.

(c)          The Senior and Junior Vice Presidents shall be elected annually.

(d)         A Public Officer shall be appointed by the Board for whatever period of time they so determine. The Public Officer shall be a Member of the Board.

(e)         The Secretary shall be a Financial Member appointed by the Board for whatever period of time they so determine. The Secretary shall be a Member of the Board.

(f)           The Treasurer shall be elected annually.

(g)         The Board may resolve to combine the offices of Secretary and/or Treasurer

(h)         All elections referred to in clause 5 shall be held at the Institutions Annual General Meeting by the preferential system. Alternatively the Board may resolve to hold a postal ballot of all Members.

(i)           If a vacancy occurs in any office during the nominated term, it shall be filled by a Member appointed by the Board.
 

CLAUSE 6                      RESPONSIBILITIES OF OFFICE BEARERS  

(a)         The President shall control the activities and preside over all Meetings, of the Institution.

(b)         The Senior Vice President shall assist the President in the execution of his responsibilities. In the absence of the President he shall occupy the chair at any Meeting and exercise the responsibilities of the President.

(c)          The Junior Vice President shall assist the President and the Senior Vice President in the execution of their responsibilities. In the absence of the Senior Vice President he shall accept the responsibilities of that position. In the absence of both the President and the Senior Vice President he shall accept the responsibilities of the President.

If a Meeting is called and neither (a), (b) or (c) above is present, the Meeting shall
elect a Chairman.

(d)         THE PUBLIC OFFICER SHALL;
Perform such duties as prescribed by the Associations Incorporation Act 1984.

(e)         THE SECRETARY SHALL;
Attend and record the proceedings of all Institution, Board and Special Resolution Meetings.

Receive all moneys and pass them on to the treasurer.

Notify Members of all appropriate Meetings

Receive all correspondence and deal with as determined by the President, the Institution or the Board.

Be the Returning Officer and responsible for the conduct of all Institution elections.

Keep a register of names and addresses of Members.

Sign all cheques in conjunction with other office bearers and Members approved by the Board.

Comply with any other reasonable requests from the Institution or the Board.

(f)           THE TREASURER SHALL;
Receive all moneys from the Secretary and deposit them in the Institution's bank account, be responsible for all Financial records and the preparation of all appropriate documents for the Board or the auditor/s on request.

(g)         Combined responsibilities.
A Member who, with the concurrence of the Board, agrees to accept the combined responsibilities of the offices prescribed in sub-clauses (e) and (f) shall accept the combined responsibilities for such offices.
 

CLAUSE 7                      BOARD OF MANAGEMENT  

(a)         The Board of Management shall consist of the office bearers as prescribed in clause (5) and four (4) Directors.

Directors shall be elected a t the Annual General Meeting for a term of twelve (12) months with the option of seeking re-election.

(b)         Appointment of Representatives.
The Board may invite an appropriate government department to nominate a Representative to the Board for a period not exceeding twelve months.

(c)          Invitees.
The Board may invite any person to attend Meetings to advise on specific matters.

(d)         The Board may resolve to remunerate any Member for time spent on Institution business
 

CLAUSE 8                      ANNUAL GENERAL MEETING

(a)         An Annual General Meeting shall be held once in each calendar year at a time and place determined by the Board

(b)         Notification shall be sent to all Financial Members at least twenty one (21) days prior to the Meeting.

(c)         The Agenda shall include;

Adoption of the Minutes of the previous Annual General Meeting.
Annual Report Presented by the President
Financial report.
Presentation of New Members certificates.
Appointment of Honorary Life Members.
Fixing of Annual Subscriptions and Joining Fees.
Fixing of Honorariums.
Election of Officers.
Appointment of Auditors.

CLAUSE 9                    SPECIAL RESOLUTION MEETINGS  

(a)          Special Resolution Meetings may be held by Resolution of the Board or on request to the President, in writing by at least ten (10) Financial Members.

(b)          Notification shall be sent to all Financial Members at least twenty one (21) days prior to the Meeting.

CLAUSE 10                   VOTING AT MEETINGS  

(a)          Unless otherwise stated voting at all Institution and Board Meetings shall be by show of hands with a simple majority decision.

(b)          Resolutions at Special Resolution Meetings must be carried by a 75% vote of the Members entitled to vote at the Meeting.

(c)          A secret ballot shall be held if requested by three(3) or more Financial Members.

(d)          The President or Chairman of all Meetings shall be entitled to a casting vote as well as an ordinary vote.
 

CLAUSE 11                   QUORUM  

(a)         The Quorum for Annual General and Special Resolution Meetings shall be fifteen (15) Financial Members.

(b)          The Quorum for Board Meetings shall be four (4) Members.  

CLAUSE 12                   FINANCE  

(a)          The Institution's financial year shall be from the 1st January to the 31st December.

(b)          A Member who has not paid his subs by the 31st December each year shall be unfinancial.

(c)          An Unfinancial Member shall not be entitled to hold office, vote at any Institution, Board or Special Resolution Meeting or be entitled to any privileges or benefits conferred on other Members.

(d)          An Unfinancal Member in arrears of Annual subs to the extent of two (2) years may be excluded from Membership by the Board and notified of such exclusion in writing.

(e)          The Board shall recommend Annual subscriptions, joining fees and Honorariums to the Annual General Meeting for approval

(f)           The Board may, in any one financial year, impose a levy not exceeding $10.00 per annum for a specific purpose

(g)          The Secretary, Treasurer and Auditors shall be guaranteed by a fidelity guarantee society or other surety to such an amount as the Board shall determine.

(h)          An Honorary Life Member (as defined) shall not be required to pay any Annual subscription or levy.

(i)            A Member shall have moneys paid as subs credited firstly to outstanding debts and levies, then to the longest outstanding year and then subsequent years.

(j)           The Institution's assets and income shall be applied solely in the furtherance of its objectives (as defined) and no portion shall be distributed directly or indirectly to the Members except as bonafide compensation for services rendered or expenses incurred on behalf of the Institution.
 

CLAUSE 13                   CONSTITUTION AND RULES  

(a)          The Constitution and Rules shall only be renewed, amended or repealed at an Annual General Meeting or Special Resolution Meeting called for that purpose.

(b)          The Constitution and Rules are binding on all Members.

(c)          A copy of the Constitution and Rules shall be issued to all new Members and to current Members on request.
 

CLAUSE 14                   DISSOLUTION OF THE INSTITUTION

The Institution may be dissolved or amalgamated with a body or bodies having similar aims and objectives, on the recommendation of the Board and carried by two (2) successive Annual General Meetings or at an Annual General Meeting and a Special Resolution Meeting held not less than ninety (90) days after the Annual General Meeting.

In the event of the Institution being dissolved, the which remains after such dissolution and satisfaction of all debts and liabilities shall transfer to any organisation which has similar objects and which is exempt from income tax

Where it furthers the object of the Institution to amalgamate with any one or more other organisations having similar objects, the other organisation(s) must have rules prohibiting the distribution of it’s (their) assets and income to Members; and must be exempt from income tax  

THIS CONSTITUTION AND RULES INCLUDES ALL INCLUSIONS AND VARIATIONS AS AT THE CONCLUSION OF THE 1998 ANNUAL GENERAL MEETING.
